Hogan Lovells advises the shareholders of AutomationsRobotic GmbH on partial sale of shares to Active Capital Company

Led by Frankfurt-based partner Dr. Christoph Naumann, global law firm Hogan Lovells has advised the two shareholders of AutomationsRobotic GmbH – an innovative and globally active company specializing in robotics and special-purpose machinery – on the partial sale of their shares to an acquisition vehicle of the Dutch-based Active Capital Company Fund.

Founded in 2010, AutomationsRobotic GmbH develops tailor-made automation and robotics solutions for a range of industries including automotive, pharmaceuticals, and industrial manufacturing. The company offers end-to-end services from planning to commissioning, with a strong focus on sustainability and innovative technologies.

Active Capital Company Fund invests in small and medium-sized enterprises in Germany and the Netherlands across the industrial, technical wholesale, and business services sectors. Through this platform acquisition, the fund aims to further enhance the value of AutomationsRobotic via targeted transformation, innovation, and geographic expansion. The sellers will remain with the group as managing directors and continue to lead the strategic development of the business.

Hogan Lovells provided comprehensive legal and tax advice to the sellers throughout the transaction. This included drafting and negotiating the transaction documents as well as advising on the sellers’ reinvestment structure.
