Assia Damianova is special counsel in the Capital Markets Group and brings more than 25 years of deep‑sector expertise.

As a specialist in innovative structured financing, she concentrates on transactions that blend securitizations with derivatives’ technology, delivering sophisticated solutions that address the evolving needs of both buy‑side and sell‑side institutions.

Throughout her career, Assia has led and advised on a broad spectrum of complex deals, including synthetic securitizations, CFOs, credit‑linked notes, total return swaps, credit default swaps (including tranched portfolio CDS), insurance products and other credit‑risk transfer products. She is adept at structuring repackaging and securitization transactions that leverage repurchase agreements, currency swaps, or total‑return swaps to reshape the economic profile of assets or to achieve leveraged exposure. Her experience also encompasses the financing of risk‑retention interests, the creation of structured vehicles such as warehouses, CLOs and CFOs, bespoke repurchase arrangements, intricate fund investments, and tailor‑made exposures for insurers in securitization contexts.

Recognized as an authority on EU and UK derivatives regulation and the EU/UK securitization framework, Assia’s practical insight and analytical rigor enable her to navigate regulatory complexities while delivering value‑adding, market‑driven solutions for her clients. Her blend of extensive transactional experience and regulatory acumen makes her a trusted advisor in the most demanding capital‑markets matters.

Representative experience

Advised a consortium of international banks on a $575 million hybrid facility for a Cayman registered private equity fund, blending a subscription line component (secured by uncalled capital commitments) with an asset backed component (secured by capital relief transactions).
Advised a European bank acting as arranger for a Luxembourg registered private debt fund on a €360 million senior note offering that supplied senior leverage to the fund's portfolio of pan European unitranche loans.
Advised a first loss tranche investor on a $120 million credit linked note referencing a replenishable portfolio of large North American corporate credits, backed by a financial guarantee from a leading Canadian bank.
Advised a major U.S. investment bank on a $2.5 billion credit protection transaction, structured under bespoke ISDA terms and delivering significant regulatory capital relief.
Advised a U.S. bank on a protection sale covering a $13 billion portfolio of North American corporate credits, incorporating bespoke tax risk allocation and veto rights on portfolio replenishments.
Ongoing advice to investors in SRT deals issued by UK, Greek, German, Italia, French, Spanish, Swedish, Canadian, US and other banks, including advice on financing of the relevant investments.
