With over 20 years of experience in a broad range of commercial financing matters, Edward "Ned" Purdon guides lender, private equity, and corporate clients alike through the challenges of a deal. Whether it’s a domestic or cross-border transaction, Ned knows how to structure, negotiate, and execute secured and unsecured financings and deliver results that exceed his clients’ goals.

Ned represents clients in a variety of financing structures, including syndicated loans for investment grade and non-investment grade issuers, strategic and middle-market acquisition financings, asset-based lending transactions, synthetic royalty financings, mezzanine financings, letters of credit, intercreditor arrangements, and multicurrency facilities. He works with clients from a variety of industries, including financial institutions and private credit, private equity, health care and life sciences, energy, agriculture, and real estate investment trusts (REITs), as well as aerospace and defense, entertainment, manufacturing, retail, and telecoms. 

Prior to joining our legal practice, Ned was an associate in the New York office of an international law firm, where he represented Wall Street financial institutions in structured finance and other corporate matters.

Representative experience

Athyrium Capital Management in connection with a US$200m senior secured term loan facility to BioCryst Pharmaceuticals, Inc. and related intercreditor arrangements for BioCryst’s royalty financings.

Marinus Pharmaceuticals Inc. in connection with its US$125m multi-tranche senior secured term loan facility and US$32.5m revenue interest financing.

HLS Therapeutics Inc. in connection with a royalty sale with DRI Healthcare Trust.

Beyond Air, Inc. in connection with its US$150m multi-tranche senior secured term loan facility.

Botanix Pharmaceuticals Limited in connection with its US$30m multi-tranche senior secured term loan facility.

EyePoint Pharmaceuticals Inc. in connection with its US$45m senior secured credit facilities, consisting of a US$30m term loan and a US$15m ABL revolver.

Harmony Biosciences Holdings, Inc. in connection with its US$200m syndicated senior secured term loan facility with JPMorgan.

An S&P 500 health care company in connection with a US$1bn investment grade syndicated revolving credit facility.

An American public aerospace and defense company in connection with a US$3bn investment grade syndicated revolving credit facility.

A public satellite launch and manufacturing company with an extensive government contracting business in a series of syndicated bank financings.

A New York-based private credit fund in numerous lending facilities to various life sciences and pharmaceutical companies.

One Rock Capital Partners in a number of acquisition financings, including One Rock's acquisitions of Airxcel and Compass Chemical.

Various other middle market private equity firms in acquisition financings, including the acquisition of a dialysis provider and a vision care product provider.

An investment fund in a US$150m financing of its Asian real estate investment portfolio.
