Michael Fabrizio advises issuers, sponsors, arrangers, underwriters and strategic investors on structured finance and securitization transactions across multiple asset classes, with a particular focus on collateralized loan obligation transactions including CRE CLOs, infrastructure CLOs, and corporate CLOs (broadly syndicated and private credit) and on other types of static and managed securitizations.

Michael’s practice spans a range of structured credit work, from advising on the structuring of complex transactions and the launch of new platforms to counseling clients on innovative transaction types. Michael is frequently engaged on novel and first-of-their-kind transactions, bringing deep technical expertise to situations that require creative and bespoke structuring solutions.

Michael serves as Secretary of the New York City Bar Association's Structured Finance Committee. Michael maintains an active pro bono practice counseling small business owners on transactional and governance matters.

Representative experience

Advising CLO managers in their development of captive CLO equity funds and joint ventures to raise captive CLO equity.
Advising deal parties in CFOs and RNFs.
Advising issuers, depositors, underwriters and loan sellers in conduit and SASB CMBS transactions.
Advising issuers, sponsors and arrangers on infrastructure/project finance CLOs, including the first transactions for two new infrastructure CLO programs.
Advising issuers, sponsors, and dealers on CRE CLOs, including the first backed by a managed construction portfolio and new sponsors on their first CRE CLO issuances.
Advising issuers, sponsors, and dealers on the second largest CRE CLO ever issued at the time of issuance.
Advising issuers, sponsors and initial purchasers on public, 144A and private ABS transactions across a wide array of asset classes including, equipment receivables and auto receivables.
Advising managers, arrangers and strategic investors in BSL and private credit new issue CLOs, resets and refinancings of CLOs.
Advising the first borrower to participate in the Federal Reserve Bank's 2020 TALF Program.
