As a securities and public company advisory associate in Philadelphia, Tyler focuses on guiding primarily life sciences companies through a wide range of corporate and securities matters. His experience includes advising on 1933 and 1934 Act reporting, Section 16 and Section 13 compliance, Nasdaq and NYSE listing issues, and capital markets transactions such as ATMs, RDOs, CMPOs, and PIPEs. He has significant experience preparing and reviewing SEC disclosures, including Forms 8‑K, 10‑Q, and 10‑K, as well as proxy statements, registration statements, board and committee resolutions, governance presentations and policies, and press releases. Tyler regularly counsels senior executives, boards of directors, finance teams, and investor relations teams on securities law, corporate governance, transactional matters, and other complex issues.
Drawn early to both the legal profession and the world of business and finance, Tyler is grateful to work at the intersection of those interests. He approaches each engagement as a lifelong learner — unafraid to ask questions, dig into the details, and understand the nuances of his clients’ goals.
During law school, Tyler served as a staff editor on the Temple Law Review. He also gained experience as a summer associate at Hogan Lovells and as a judicial intern for the Honorable Marilyn Heffley of the U.S. District Court for the Eastern District of Pennsylvania.
